Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the SignalCraft client portal and related services (the “Services”) provided by SignalCraft Strategies, LLC(“SignalCraft,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms.

1. Eligibility & accounts

The Services are made available to businesses we work with and to the individuals those businesses authorize. Accounts are provided by invitation. If you use the Services on behalf of a company (the “Client”), you represent that you are authorized to accept these Terms on that company’s behalf, and “you” refers to both you and that company.

You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly at info@signalcraftstrategies.com if you suspect unauthorized use.

2. The Services

The portal gives Clients a place to view their growth data, documents, invoices, requests, and the sales leads we develop for them. We provide the Services to each Client under a separate consulting or services agreement (the “Client Agreement”). If anything in these Terms conflicts with a signed Client Agreement, the Client Agreement controls for that Client. We may improve, change, or discontinue features of the portal from time to time.

3. Acceptable use

You agree not to:

  • Use the Services in violation of any law or the rights of others;
  • Access, or try to access, another Client’s workspace or data;
  • Upload or submit data you do not have the right to provide, or that infringes or violates anyone’s rights, including uploading contact data without a lawful basis to do so;
  • Upload malware or interfere with the security or integrity of the Services;
  • Reverse-engineer, scrape, resell, or copy the Services or their underlying software, except as the law expressly permits; or
  • Use the Services to send unlawful, harassing, or unsolicited communications.

4. Client data & content

“Client Data” means the data and content a Client or its users provide to, or store in, the portal. As between you and us, you retain all rights in your Client Data. You grant us a non-exclusive license to host, process, and use Client Data solely to provide and support the Services and as described in our Privacy Policy.

You are responsible for your Client Data and for ensuring you have the necessary rights and lawful basis to provide it and to have us process it, including any contact information you upload. The sales leads we develop and deliver to you are addressed in your Client Agreement; our handling of the personal information within them is described in the Privacy Policy.

5. Intellectual property

The portal, its software, design, and all related intellectual property are and remain owned by SignalCraft and our licensors. Except for the limited right to use the Services under these Terms, no rights are granted to you. Feedback you give us about the Services may be used by us without restriction or obligation to you.

6. Third-party services

The Services rely on third-party providers, including Clerk (authentication), Supabase (database and storage), and Vercel (hosting). Your use of the Services may be subject to those providers’ terms, and we are not responsible for their acts or omissions.

7. Confidentiality

Each party may access non-public information of the other through the Services. Each party agrees to protect the other’s confidential information with reasonable care and to use it only as needed to exercise its rights and meet its obligations under these Terms, except where disclosure is required by law.

8. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that any lead or data will produce a particular business result.

9. Limitation of liability

To the fullest extent permitted by law, SignalCraft will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or relating to the Services. Our total liability arising out of or relating to the Services will not exceed the greater of the amounts you paid us in the twelve months before the claim or $7,500 USD. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You will defend, indemnify, and hold harmless SignalCraft from and against any claims, damages, and costs (including reasonable attorneys’ fees) arising out of your Client Data, your use of the Services, or your breach of these Terms.

11. Term & termination

These Terms apply while you use the Services. We may suspend or terminate access if you breach these Terms, if required by law, or if your Client Agreement ends. You may stop using the Services at any time. On termination, we will handle any return or deletion of Client Data in accordance with the applicable Client Agreement and our Privacy Policy. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.

12. Governing law & disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before filing any claim, the parties agree to first try in good faith to resolve the dispute informally by contacting info@signalcraftstrategies.com. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Solano County, California, and each party consents to the jurisdiction of those courts.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. For material changes we will take reasonable steps to notify you. Your continued use of the Services after an update means you accept the revised Terms.
